[Updated] Healthcare Dealflow Reveals Sword Health’s Planned Acquisition of Headspace

Sword Health is set to acquire Headspace through a cash purchase of its parent company, OrangeDot, in a transaction expected to close on September 14. Healthcare Dealflow – an M&A intelligence platform that tracks deals, trends, and investment activity across the healthcare sector – identified the pending transaction through a Notice of Material Change filed July 22, 2026 by Headspace with the Massachusetts Health Policy Commission. Neither party has issued a press release and as of this publication (August 25, 2026), the transaction has not been reported elsewhere.

The Massachusetts Health Policy Commission requires healthcare entities operating in the state to file notice of material change at least 60 days before closing. The notice cites HSR filings made by both parties on July 9, signaling that a definitive agreement has been signed.

The Massachusetts filing also notes that the parties submitted a concurrent Health Care Market Oversight filing to the Oregon Health Authority on July 22, 2026. The Oregon Health Authority has confirmed receipt of the submission to Healthcare Dealflow and is currently evaluating it.

Sword Health is a digital health platform that combines AI with clinical care to offer virtual physical therapy, musculoskeletal care, pelvic health, cardiometabolic programs, and mental health support. Headspace is a digital mental health platform that works through B2B and D2C channels to offer behavioral health coaching, mindfulness, virtual therapy, virtual psychiatry, and employee assistance programs. According to the Massachusetts filing, “The Proposed Transaction will combine Headspace’s mental health, coaching, and wellness platform with Sword’s technology-enabled virtual care platform.”

The transaction is reflective of accelerating consolidation in the digital health space this year. Sword previously acquired Kaia Health for $285 million in January, with other notable transactions including Spring Health’s acquisition of Alma, Cerebral’s acquisition of Inflow, and Wisp’s acquisition of TBD Health.
